Terms of Service

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this eligibility requirement.

You further represent and warrant that you are not: (a) located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services; (b) identified as a "Specially Designated National" by the Office of Foreign Assets Control (OFAC); or (c) placed on the U.S. Commerce Department's Denied Persons List.

2. Description of Services

1tao provides a non-custodial wallet software that enables you to:

• Create and manage Bittensor-compatible wallets
• Store, send, and receive TAO and other compatible digital assets
• Stake TAO to validators on the Bittensor network
• Interact with decentralized applications and the Bittensor ecosystem

We do not custody, control, or have access to your digital assets at any time. You retain full control and responsibility for your assets and private keys.

3. Fees and Taxes

By using the Services, you acknowledge and agree to the following regarding fees:

Network Fees

All transactions on the Bittensor network require network fees (also known as "gas fees" or "transaction fees"). These fees are paid directly to network validators and are not collected by, nor do they benefit, 1tao. Network fees vary based on network congestion and transaction complexity. You are solely responsible for ensuring sufficient TAO balance to cover network fees for any transaction.

Third-Party Fees

If you use third-party services accessible through the Services (such as fiat on-ramps, exchanges, or other integrations), those third parties may charge their own fees. Such fees are disclosed by the third-party provider and are not controlled by 1tao.

Taxes

It is your sole responsibility to determine whether, and to what extent, any taxes apply to any transactions you conduct through the Services, and to withhold, collect, report, and remit the correct amount of tax to the appropriate tax authorities. 1tao does not provide tax advice and is not responsible for determining or collecting any taxes on your behalf.

4. Wallet and Private Keys

Non-Custodial Nature

1tao is a non-custodial wallet. This means that you are solely responsible for maintaining the security of your private keys, seed phrases, and passwords. We do not have access to your private keys or seed phrases and cannot recover them if lost.

Your Responsibility

You acknowledge and agree that:

• You are solely responsible for safeguarding your private keys and seed phrases
• Loss of your private keys or seed phrases will result in permanent loss of access to your assets
• We cannot reverse or recover any transactions on the blockchain
• You should never share your private keys or seed phrases with anyone
• You should store your recovery phrase in a secure, offline location

No Recovery

IMPORTANT: If you lose access to your seed phrase or private keys, we cannot help you recover your wallet or assets. There is no "forgot password" functionality for blockchain-based assets. You are solely responsible for backup and security.

5. User Responsibilities

By using the Services, you agree to:

• Provide accurate and complete information when using the Services
• Maintain the security of your wallet, private keys, and seed phrases
• Accept full responsibility for all activities that occur under your wallet
• Promptly notify us if you suspect any unauthorized use of your wallet
• Use the Services only for lawful purposes and in compliance with all applicable laws
• Not attempt to circumvent any security features of the Services

6. Prohibited Activities

You agree not to use the Services to engage in any of the following prohibited activities:

Unlawful Activity

Activity which would violate, or assist in violation of, any law, statute, ordinance, or regulation, or sanctions programs administered in the countries where 1tao conducts business, including but not limited to the U.S. Department of Treasury's Office of Foreign Assets Control ("OFAC"), or which would involve proceeds of any unlawful activity; publish, distribute or disseminate any unlawful material or information.

Financial Crimes

Engaging in money laundering, terrorist financing, fraud, extortion, or other financial crimes; conducting transactions involving proceeds derived from illegal activity; structuring transactions to evade reporting requirements.

Gambling

Lotteries; bidding fee auctions; sports forecasting or odds making; fantasy sports leagues with cash prizes; internet gaming; contests; sweepstakes; games of chance, except where expressly permitted by applicable law and with our prior written consent.

Multi-level Marketing

Pyramid schemes, network marketing, and referral marketing programs that promise payments primarily for recruiting new participants rather than for legitimate product or service sales.

Intellectual Property Infringement

Engaging in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy, or any other proprietary right under the law; use of 1tao intellectual property, name, or logo without express consent; any action that implies an untrue endorsement by or affiliation with 1tao.

Counterfeit or Unauthorized Goods

Unauthorized sale or resale of brand name or designer products or services; sale of goods or services that are illegally imported or exported or which are stolen.

Abusive Activity

Actions which impose an unreasonable or disproportionately large load on our infrastructure; detrimentally interfering with, intercepting, or expropriating any system, data, or information; transmitting or uploading any material that contains viruses, trojan horses, worms, or any other harmful or deleterious programs; attempting to gain unauthorized access to our systems or other users' wallets.

Abuse of Other Users

Interfering with another individual's or entity's access to or use of any Services; defaming, abusing, extorting, harassing, stalking, threatening or otherwise violating or infringing the legal rights of others; inciting, threatening, facilitating, promoting, or encouraging hate, racial intolerance, or violent acts against others; harvesting or otherwise collecting information about others without proper consent.

Deceptive Practices

Providing any false, inaccurate, or misleading information; operating unfair, predatory, or deceptive schemes including investment opportunities that promise unrealistic returns; impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

7. Risks and Disclaimers

Blockchain Risks

You acknowledge and accept that:

• Blockchain technology and digital assets are subject to high volatility and market risk
• Transactions on the blockchain are irreversible once confirmed
• Network congestion may result in delayed or failed transactions
• The Bittensor network may experience downtime, forks, or other disruptions
• Smart contracts may contain bugs or vulnerabilities
• Regulatory changes may affect the legality or use of digital assets

No Investment Advice

Nothing in the Services constitutes investment, financial, legal, or tax advice. You should consult with appropriate professionals before making any investment decisions. We do not recommend or endorse any particular digital assets, validators, or investment strategies.

Staking Risks

If you stake your TAO through the Services, you acknowledge that:

• Staking rewards are not guaranteed and may vary
• Your staked assets may be subject to lock-up periods
• Validator performance may affect your rewards
• You may lose some or all of your staked assets due to slashing or other penalties

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7A. No Fiduciary Relationship

1tao is a software provider and does not offer fiduciary services. We are not your broker, intermediary, agent, advisor, or fiduciary. No communication or information provided by 1tao is intended as, or shall be considered or construed as, investment advice, financial advice, trading advice, legal advice, or any other sort of advice. You are solely responsible for determining whether any investment, investment strategy, or related transaction is appropriate for you based on your personal investment objectives, financial circumstances, and risk tolerance.

8. Intellectual Property

The Services, including all content, features, and functionality, are owned by 1tao and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

You retain ownership of any digital assets held in your wallet. We claim no ownership rights over your digital assets.

9. Third-Party Services

The Services may contain links to or integrations with third-party websites, applications, or services. We are not responsible for the content, privacy practices, or availability of these third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

We do not endorse or assume responsibility for any third-party services, validators, or decentralized applications that you may interact with through the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 1TAO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content
• Loss of private keys, seed phrases, or access to your wallet
• Errors, bugs, or vulnerabilities in the Services or blockchain
• Market volatility or loss in value of digital assets

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless 1tao and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by updating the "Last Updated" date at the top of these Terms and, in some cases, we may provide additional notice (such as adding a statement to our website).

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.

12. Termination

We may suspend or terminate your access to the Services at any time, for any reason, without notice or liability. You may also stop using the Services at any time.

Upon termination, your right to use the Services will immediately cease. However, you will retain access to your digital assets through your private keys, as we do not custody your assets. The provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Disputes

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiations within thirty (30) days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL.
